Electronic Signature Consent & Disclosure

Please read this before you sign

You have been asked to sign a document electronically using Usign, a service operated by Upfluence Inc. (214 Sullivan Street, Suite 3A, New York, NY 10012, USA). Usign provides the signing technology. The document, and the request that you sign it, come from the business that sent it to you (the "Sender").

By continuing, you agree to the following.

1. You consent to sign and transact electronically

You agree that your electronic signature, and any electronic record of the document, have the same legal effect as a handwritten signature on paper and as a paper record. In the United States this consent is given under the federal ESIGN Act and applicable state versions of the Uniform Electronic Transactions Act. In the European Union and the United Kingdom, your signature is a simple electronic signature under eIDAS and its UK equivalent.

You also agree to receive the document, the completed signed copy, and notices relating to this signing session electronically, at the email address to which the signing request was sent.

You are not required to sign electronically. If you would prefer to sign on paper, or to receive a paper copy, do not continue — contact the Sender and ask for a paper process. Usign cannot provide a paper process on the Sender's behalf.

2. How your identity is checked

You reached the document through a unique link sent to your email address. Before you can sign, you will either confirm your email address or enter a one-time passcode we email to you. Control of that email address is how your signature is attributed to you.

Do not forward your signing link. Anyone with the link and access to your email could complete the signing session, and it would be recorded as yours. If you believe your link has been seen by someone else, stop and tell the Sender.

Usign does not verify government-issued identity documents, does not use biometrics, and does not provide notarization or witnessing.

3. What is recorded

To make your signature reliable evidence, Usign records, for each step of the session:

  • the date and time of each event (sent, opened, viewed, passcode requested and verified, signed, declined, downloaded);
  • your IP address, your browser and device information, and an approximate location (country and region) derived from your IP address;
  • the values you enter in any fillable field, and the image of your signature (drawn, typed or uploaded); and
  • a cryptographic hash of the document content at the moment of signing.

This record — the audit trail — is written into the final PDF as an appendix, so the file can be verified without access to Usign's systems. It is append-only: neither you, nor the Sender, nor Usign can edit it after the fact. That is what makes it worth having.

4. Getting and keeping your copy

When everyone has signed, you receive an email with a link to download the completed PDF. The document is not attached to that email, and the link works for a limited period (currently 90 days).

Download the PDF and save it somewhere you will still have it later. Once the link expires, your own saved copy is your record; after that you would need to ask the Sender for another. If you need the document for tax, accounting or legal purposes, save it now rather than relying on the link.

5. What you need in order to sign

  • A device with a current version of a mainstream web browser (Chrome, Safari, Firefox or Edge), with JavaScript and cookies enabled.
  • An active internet connection.
  • Access to the email account the signing request was sent to.
  • The ability to open and save PDF files, and either a printer or storage space if you want to keep a local copy.

If you cannot meet these requirements, ask the Sender for an alternative.

6. Keeping your email address current

Notices and your signed copy go to the email address the Sender used. If that address is wrong or is about to change, tell the Sender — Usign cannot change it for you.

7. Withdrawing your consent

You may withdraw your consent to sign electronically at any time before you complete signing, by closing the session and telling the Sender. Withdrawing consent does not affect a document you have already signed, and does not by itself release you from any obligation under a document you already executed. There is no fee from Usign for withdrawing.

You may also decline to sign from within the session; the Sender is notified, and you can give a reason if you wish.

8. Your personal data

The Sender decides what personal data the document asks for and how long the record is kept; Usign processes it on the Sender's instructions. To ask a question about your data, to have it corrected, or to request erasure, contact the Sender first. If you cannot reach them, email privacy@usign.co and we will identify the Sender and forward your request.

Note that where personal data is erased, the signed PDF itself is not altered — it remains as the record of an executed agreement. The Privacy Policy explains exactly what is redacted and what is retained, and why.

9. Usign's role, and what it is not

Usign supplies the signing technology. Usign is not a party to your document, does not review its contents, cannot advise you on it, and gives no assurance that the document is fair, complete, valid or enforceable. If the document matters to you and you are unsure about it, take your own legal advice before signing.

If you were not expecting this document, or you believe the request is fraudulent, do not sign it. Report it to support@usign.co and do not enter any information into the session.
